LETTER OF INTENT

Date    : January 30rd, 2017

Here with the letter our company would like to advertised the Letter of Intent (LOI) as to forge the commitment between the parties.

As the first party,
Name               : Diah Setyowati
Position           : Managing Director
Company         : Setyo, Ltd.

As the second party,
Name               : Joonie Kim
Position           : Chief Executive Officer (CEO)
Company         : Bangtan, Inc.

Are agreed to have commitment assigning in term of the said Letter of Intent (LOI) through several articles.

Article 1
An entity newly formed by Pearson, LLC (“Buyer”) would purchase substantially all of the operating assets, including all tangible and intangible assets, equipment, leases, contract rights, and intellectual property used in the Business for a purchase price of one million one hundred thousand dollars ($1,100,000). Buyer will not assume any liabilities of the Business of the Company other than liabilities accruing after the closing under contracts or leases assumed by Buyer.

Article 2
The closing will be subject to the negotiation and execution of definitive transaction documents that will include, among other things, customary representations, warranties, covenants, and indemnities by the Seller and their principals regarding the business, operations, and financial condition of the Business.

Article 3
The parties acknowledge that time is of importance and that they will work towards closing the transaction as quickly as possible.

Article 4
The consummation of the Transaction will be subject to the satisfaction of customary conditions, including, without limitation, the following:
  • The negotiation, execution, and delivery of definitive agreements satisfactory to each of the parties, including retail leases, and securing of any required governmental or third-party approvals, waivers, or consents.
  • Maintenance of the Company’s business in the ordinary course, and the absence of any material adverse change in the Company’s business of financial condition or material changed in the conduct of its business as of the date of this Letter of Intent.
  • The Company not seeking or requesting any type of bankruptcy protection or bankruptcy procedure.

Article 5
Other than this paragraph 5, which is intended to be and is legally binding, this letter is nonbinding and constitutes an indication of intent only and creates no liability or obligation of any nature whatsoever among the parties hereto with respect to any contemplated transaction or any other matter or action described or referred to herein. Legally binding obligations with respect to the contemplated transaction will only arise upon execution of a definitive agreement and related agreements with respect to the transaction.

If the foregoing is satisfactory, please indicate your agreement with the foregoing by countersigning a copy of this letter and returning it to our attention. We look forward to proceeding together on this transaction.

Pro-Side in Using Contactless Payment in Indonesia

Today, many conveniences that have been granted by the bank to its customers in order to conduct banking transactions without the hassle. Phone banking is one of the conveniences offered, but many of our bank customers who do not know more details about what it actually phone banking. For the tech-savvy bank customers, many of those who prefer to use internet banking services, for capital to conduct banking transactions and use of this service that they already have a smartphone and an Internet connection. Features offered in internet banking is felt more familiar than through phone banking. 
 
Phone Banking - E-Banking

However, with a smartphone, customers can actually use a lot of electronic services are provided not only Internet banking, but can also use the phone banking service facilities. Phone banking is actually more easier with just a phone and transactions can be done with a guide answering machine or through a bank officer who served this phone banking. This service does not need to use the gadget class smartphone, just using a cell phone belonging to the old school or using telephone at home, we can enjoy phone banking services. Advantages that we got from using it:
  • Better security. It's far more secure than mag stripe data. Messages are single use, so reading them is useless. Skimming is virtually impossible. Without a PIN, a stolen physical card can be used, so it's less secure than chip-and-pin, but mostly because of the pin.
  • Variety of form factors. Mag stripe is very specifically designed to be on a card, and it's yet to be seen whether EMV will make its way to other form factors (I'm guessing no). Contactless is found on cards, key fobs, smartphones, vehicles, or virtually anything that can be transported with a person.
  • Convenience. Tapping to pay is faster and more convenient than most other forms of payment. A contactless card, for instance, can be used without removing it from your wallet. Contactless in transit venues allows lines of people to flow quickly through turn styles. The multiple form factors also offers more convenience. My car can automatically pay-at-the-pump with Speedpass. I can buy my groceries with my phone. To my experience, only proximity (iBeacon, Bluetooth Low Energy) and contextual payment systems (like Pay With Square) can meet or exceed the convenience.
  • More features. When specifically tied to a smart phone, such as Google Wallet, many features are now available that are impossible for a mag-stripe card or even EMV. Payment history, virtual card provisioning (safer), remote deactivation, and user-configured pin-protection are just a few of the features. The sky is the limit here.
  • Opportunities for innovation. Primarily due to their viability on smart phones, contactless payments provide a platform for innovation. In the past 60 years since its invention, what innovation have we seen on the mag-stripe? Very little (queue the hate mail from the one person with a patent on magstripe oxidation and embossing processes). We've seen quite a bit with contactless in a much shorter time, and continue to see it today. I expect this trend to continue. 
So, I prefer using this method for transactions in this modern era:)
